Party A：Wuhu Jinmao Fluid Technology Co., Ltd

Party B：Jinmao suppliers, various service providers or engineering contractors

1、 Cooperative guarantee for standardizing business behavior

In order to standardize the business behavior of the enterprise and ensure the legitimate rights and interests of both parties and normal business exchanges. While performing relevant business contracts, both parties hereby formulate the following guarantee measures for mutual compliance.

1、Party A and Party B shall strictly abide by their own price and business negotiation systems and rules, and shall not negotiate business outside the office.

2、It is prohibited for Party A's personnel to take bribes or ask for bribes. Party A's personnel and relevant relatives are prohibited from accepting abnormal entertainment provided by Party B in any name, such as tourism, gambling and other entertainment activities. It is strictly prohibited to directly or indirectly ask for or accept gifts or benefits from Party B, and it is strictly prohibited to accept gifts in the form of rebates, commissions, tips, cash vouchers and so on.

3、Party A's purchasing personnel, relatives of the project leader (as well as social relations members such as classmates) are prohibited from participating in the purchase and sale of materials and services and related intermediary activities。

4、Party B is prohibited from offering bribes (including but not limited to purchasers, technicians, samplers, inspectors, weighers, equipment inspectors and department leaders who can exert influence on the purchase and use of products), providing commissions, rebates, gifts, meals, tourism and other bribes or other disguised bribes.

6、Party B is prohibited from subcontracting or subcontracting projects in violation of regulations. Party B shall not collude with other bidders or surround them, and shall not take any illegal means to exclude other bidders from participating in fair competition and damage the interests of Party A.

7、If Party B finds that Party A's personnel or project intermediaries claim to have bribes, Party B has the right to report to Party A's audit department, and is obliged to cooperate with Party A's investigators to investigate violations and actively provide evidence of violations.

8、Due to the shortage of market supply, Party B must be selected as the supplier of Party A. However, if the person in charge of Party B or the legal representative of Party B is an executive of Party A, the person in charge of the project or the relatives of direct business personnel (as well as social relations members such as classmates), Party B shall take the initiative to declare to the Audit Department of Party A and can continue to maintain the cooperative relationship after being approved by the general manager of Party A.

9、If Party B violates the terms of this agreement, it shall be punished as breach of contract and bear the liability for breach of contract. In addition, Party A has the right to require Party B to pay a certain amount of liquidated damages or terminate various relevant business contracts signed with Party B. the date of termination shall be subject to the date when Party A sends the termination letter.

10、If it is found that Party B violates the provisions of this agreement, Party A may suspend the payment of unpaid business funds and make payment when both parties reach a satisfactory solution; In serious cases, Party A has the right to terminate the payment of unpaid funds.

2、 Intellectual property

1、When Party B provides products or services to Party A, the intellectual property rights generated based on the products or services belong to Party B, but the intellectual property rights generated by Party A's improvement and innovation based on the products or services belong to Party A.

2、Party B guarantees that Party B enjoys independent intellectual property rights for the products provided under this contract, or has been legally authorized by the obligee of relevant intellectual property rights. Party B guarantees that its products or services will not infringe the intellectual property rights of any third party, and Party A will not infringe the intellectual property rights of any third party due to the production, sale, offer for sale and use of any part of the products or services. If the products provided by Party B infringe the intellectual property rights of a third party, Party B shall actively assist Party A to quickly and properly solve the intellectual property complaints, administrative investigations or civil proceedings, and Party B shall bear all the responsibilities.

3、When Party B provides products or services to Party A, Party B shall provide Party A with the right to produce, sell, promise to sell and use the intellectual property rights generated based on the products or services。

4、During the term of the contract, Party B shall not provide any Party A's confidential information and related services to anyone, including but not limited to Party A's competitors, but not limited to the following terms： a.Party B is prohibited from taking photos and videos at Party A's place in any form. If necessary, Party A shall provide them with the consent of Party A; b. Party B is prohibited from disclosing any confidential information of Party A, such as technical drawings, equipment drawings, technical specifications and other information; c. Party B is forbidden to bring anyone, including but not limited to Party A's competitors or business detectives, to Party A's place for on-site investigation or photography; d. Party B shall not declare the cooperative relationship between the two parties.

5、In case of violation of the above requirements, Party A has the right to terminate the contract, and the losses caused shall be borne by Party B.

3、 Health, safety and environmental protection

1、Party B shall be responsible for the health, safety and environmental protection of all work and relevant staff. Party B shall comply with and ensure that its employees and subcontractors comply with the provisions of the contract on health, safety and environmental protection, relevant laws and regulations and relevant provisions and instructions issued by Party A from time to time (including safety protection requirements for work clothes, masks, eye protection appliances, work shoes and so on).

2、Party B shall establish and maintain its own good health, safety and environmental protection system in accordance with laws and regulations and the standards of reasonable and prudent service providers。

3、When implementing the contract, Party B shall avoid any operation that may endanger personal health and property safety, take necessary safety and health precautions, and inspect the health, safety and environmental protection of all facilities, equipment and materials from time to time. Party B shall provide safety facilities and safety guidelines required for work, and keep and provide records and reports of all accidents, casualties and related matters required by laws and regulations.

4、Party B shall take reasonable measures to prevent any personal and property damage on and around the work site. Such protective measures include but are not limited to：

1）Fire prevention measures；

2）Provide temporary construction walls, signs, warning signs and roadblocks；

3）Eliminate accumulated dust and smoke；

4）Provide protection for elevated utility pipelines, underground pipelines and cables；

5）Provide protection for roads, bridges and transportation tools entering and leaving the project site；

6）Provide protection for facilities and properties around the work site to prevent subsidence, collapse, leakage and adverse effects of dust, smoke, fire, chemicals, noise and light。?
